Item 8.01.  Other Events.

 

On December 12, 2008, Liberty Media Corporation issued a press release announcing a plan to distribute to the holders of its Liberty Entertainment tracking stock shares of a subsidiary that will hold a majority of the businesses, assets and liabilities currently attributed to the Liberty Entertainment Group.  The distribution would be effected by means of a pro rata redemption of a portion of the outstanding shares of Liberty Entertainment tracking stock.  The press release is filed herewith as Exhibit 99.1.
