Item 7.01. Regulation FD Disclosure

On October 1, 2015, Liberty Interactive Corporation (“Liberty”) and zulily, inc. (“zulily”) jointly issued a press release announcing the completion of Liberty’s previously announced exchange offer for all issued and outstanding shares of zulily common stock, Liberty’s acceptance of such shares validly tendered into and not validly withdrawn from the exchange offer and the expected completion of Liberty’s acquisition of zulily. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated by reference into this Item 7.01.
